Terms of service

Terms of service

These terms cover enquiries, engagements and the work we deliver. Where we sign a specific contract for a project, that contract takes precedence and these terms fill any gap it leaves.

Last updated: TODO: set the real date once published

Quotations and scope

Fixed prices are quoted in GBP against a written scope and hold for 30 days from the date of the quotation. Work outside the quoted scope is quoted separately before it starts; we do not bill for surprises.

No VAT is charged on our fees, so the price we quote is the whole of our fee. If our tax position changes, any VAT chargeable on supplies made on or after the effective date of any registration will be added to the price, and we will tell you in writing before you commit to any work invoiced after that date.

A website package is defined by what it includes. If a request falls outside it, we will say so and give the additional cost rather than declining the work.

Timetables

Dates assume you can supply content, access and decisions within the agreed turnaround. Each day we wait on an agreed dependency moves the delivery date by at least that much, and we will tell you when that is happening.

Payment

Projects are invoiced 50% to begin and 50% on handover unless the quotation says otherwise. Retainers are invoiced monthly in advance. Payment is due within 14 days of the invoice date by bank transfer.

We may pause work on an engagement where an undisputed invoice is more than 14 days overdue, after telling you we intend to.

Money-back guarantee

The Launch and Growth website packages and a paid opportunity audit carry a seven-day money-back guarantee. The seven days run from the date of our first delivery to you under that engagement, whether or not the site has gone live and whether or not that delivery is complete: a first design, a draft page or a sample of the work starts the clock in the same way a finished site does.

If you tell us in writing within those seven days that the work is not what was quoted, we refund the fees we hold to the account that paid them. We do not ask you to justify the decision first.

Costs we have already paid to third parties on your behalf and cannot recover, such as domain registration, hosting, purchased licences or model usage, are reimbursed by you rather than refunded, and we set those out before you pay.

Tailored and staged engagements are excluded, because each stage is quoted, approved and paid for on its own terms: if a stage is not what was agreed, we fix it or stop there rather than refunding work you have already accepted. Anything delivered remains yours, including the copy and the repository.

This guarantee is in addition to the rights you have in law, which it does not limit.

Your responsibilities

You confirm you have the right to give us the material you supply, including any third-party content, data or trademarks that end up in the work.

For work involving personal data you are the controller and we are the processor: we process it only on your documented instructions, and we will help you answer data subject requests that concern that work.

Ownership of the work

On payment in full, the deliverables, source code, content and accounts belong to you, including the domain and hosting on your own accounts. We retain any pre-existing tools and libraries we bring with us, licensed to you perpetually and royalty-free so the work keeps working.

We may name you as a client and describe the project in a case study. We will not do that without your written permission first.

No guarantee of outcomes

We commit to a standard of work and to measuring against the numbers we agreed. We cannot guarantee a business result, a search ranking, or a specific model accuracy on data we have not yet seen, and any provider who guarantees those should be read carefully.

Where an engagement has an agreed accuracy or performance target, that target and the method for measuring it are set out in the quotation, and failure to meet a genuinely missed target is remedied at our cost.

Liability

Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited. Subject to that, our total liability for an engagement is limited to the fees paid for that engagement, and we are not liable for lost profits, lost revenue or business interruption.

Ending an engagement

Either side may end an engagement on written notice. You pay for work done to that point, we hand over everything produced up to it in whatever state it is in, and any unused portion of a retainer is refunded.

Law

These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
